CONSTITUTION AND BY-LAWS
M AND W SADDLE CLUB
As amended on January 14, 2007
ARTICLE I : CHARTER AND CLUB NAME
The charter issued by the Secretary of State of Illinois on March 9, 1979, for the official Charter shall be known by the name therein designated, to wit : M and W Saddle Club.
ARTICLE II : PURPOSE
The purpose of the club is to operate a non-profit club for promoting and fostering horseback, conducting social and general public activities among the members and general public and foster promotion of good-will thereto.
ARTICLE III : MEETING
The club shall meet once monthly unless modified by the officers.
ARTICLE IV : MEMBERS AND DUES
All membership dues must be paid by the April membership meeting of each cal. Year.
Perspective members recommended by a member in good standing and to be voted on by membership. A membership shall include the immediate family and children. This family membership to include children 17 and under ( age as January 1 of the calendar year ). Each person, 13 years and over, holding a membership card is entitled to vote. Junior membership may be granted on an individual basis to persons 17 and under. Any retired member shall receive an honorary membership.
Members are required to fill out an insurance form along with the membership form at the time member pays dues or when a new member joins the club.
You must be a member of M&W to participate in any M&W show at the club or use the grounds for practice.
ARTICLE V : DIRECTORS
Their shall be six (6) directors who shall hold office for two years, three (3) to be installed at the annual meeting of the members in January of each even year, three ( 3 ) to be installed in each odd year. In case of the death or resignation of any director, their unexpired term must be filled by appointment by the remaining directors. The directors shall be the governing body and direct the business of the club. A quorum shall be four (4) or more directors except in the case the board shall be reduced below four (4) by death or resignation, in which case a majority shall constitute a quorum. All propositions that are adopted by a majority of the quorum shall be submitted to a meeting of the members, who shall be notified of such in writing. Such propositions shall be legal where passed by majority present. The immediate past president shall automatically become a board member for a one (1) year term if he or she so desires.
ARTICLE VI : OFFICERS
There shall be installed at the annual meeting in December of each year, a President, a Vice – President, a Secretary, a Treasurer, and Directors as specified above. They shall hold office for one year or until their successors are elected. If such a situation merits a co-officer may be nominated and voted on. The officers shall hold office for one (1) year or until their successors are elected. The officers shall have a vote in board meeting except the President who has a vote in case of a tie. Nominations and elections will be held at the December meeting. Officers installation will be held at the December meeting. Any Officers or Directors absent for three consecutive meetings shall forfeit his or her office unless a reasonable excuse is given such as sickness, working, or out of town. Any office must hold an adult membership. An adult is considered to be any person over the age of seventeen (17) as of January 1st of the calendar year. To accept a nomination or to be elected, a person must be present or have such in writing at specified meetings. A person must be present to cast a vote.
ARTICLE VII : FINANCES
All monies shall be kept by the treasurer in a bank in the name of the club. Checks shall be signed by two of the officers, treasurer, secretary, or president. Treasurer shall pay necessary expenditures for current bills. Other bills must be approved by the board of directors.
ARTICLE VIII : COMMITTEES
Committees as needed may be appointed by the president, or in his or her absence, by the president protem.
ARTICLE IX : AMENDMENTS
The by-laws shall be reviewed and are subject to change or amendment at the Januarymeeting of the board members and by a vote of two- thirds of the board
members present. Any change or amendment to these by-laws shall be presented to membership in writing at the February meeting.
ARTICLE X : PROPERTY PROTECTION
No club real estate shall be purchased or sold by the club without consent of the membership. All membership shall be notified of such in writing of such intention. Two-thirds of membership at first meeting and set high enough for second meeting.
ARTICLE XI : NOTATION
A current copy of these by-laws shall be posted in the club house at all times.
ARTICLE XII : AUDIT
Before a president leaves office or succeeds themselves, he or she is to appoint a committee of three ( 3 ) club members to audit the club books, at the beginning of each year.
ARTICLE XIII : DOCUMENTATION
When an officer is leaving an office of the club, all books and all documents pertaining to the club are to be turned over to the incoming officers, within thirty ( 30 ) days following the December meeting.
